About the role
The role will be responsible for supporting the Corporate Secretary for all entities in Asia including Singapore, Japan, India, South Korea and Cayman Islands with regards to:
providing support to the Corporate Secretary to run the corporate secretariat in an efficient manner
ensuring that all documentation in connection with the corporate secretariat are accurately stored, filed and retained
prepare and maintain statutory registers, minutes books and corporate records.
liaise closely with the Brookfield investment, legal, tax and finance teams.
Responsibilities:
Ensure day to day smooth operation of the Corporate Secretariat function across Asia.
Drafting secretarial resolutions including subscription and allotments, redemption of preference shares, transfer of shares, etc.
Record, track and monitor progress on all open items.
Ensure efficient coordination of required functional inputs and sign-offs is obtained in a timely manner.
Develop good working relationships with team members.
Foster a culture of operational excellence
Understand the context and think about the issues impacting board packs and board minutes
Ensure all documents are retained in a suitable manner
Ensure compliance from a corporate secretariat perspective with respective laws, regulations and filing requirements
Review and/or update the secretarial document templates to be in line with legislation in force
Assist to set up template documents and secretarial process with BCOG
Work closely with the service providers for the above-mentioned jurisdictions to ensure timely filings with regulatory authorities
Coordinate with Executive Assistants to facilitate board meetings, resolutions, approvals, and statutory filings.
About You
At least 3-5 years corporate secretarial experience
Relevant professional qualification preferred but not essential
Prior real estate, infrastructure or general fund administration experience preferred
In depth knowledge and experience of Singapore Companies Act ACRA filing requirements including knowledge in IRAS stamping requirements
Sound knowledge of legal principles and mechanics of corporate decisions
Solid computer skills, particularly with Microsoft Office applications
Proficient in entity management system such as Diligent Entities.
